1. Acceptance of Terms
By accessing or using the Pulse Social website or services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the website or engage our services.
2. Services
Pulse Social provides digital marketing services including social media management, content creation, paid advertising, lead generation, AI automation, and related consulting. Specific services, deliverables, timelines, and fees are set out in a separate agreement or proposal agreed upon by both parties.
3. Client Obligations
Clients agree to provide timely access, materials, approvals, and accurate information needed for us to perform the services. Delays caused by missing client input may extend timelines and affect campaign performance. Clients are responsible for ensuring they have the rights to any content, branding, or assets they provide.
4. Payment and Fees
Fees are quoted in the applicable proposal or agreement. Recurring fees are billed in advance unless otherwise stated. Ad spend and third-party costs are separate from management fees and are the client's responsibility. Late payments may result in paused work or termination of service.
5. Intellectual Property
Upon full payment, clients receive a license to use the deliverables created specifically for them, such as content, copy, and creative assets, in accordance with the agreed scope. Pulse Social retains ownership of pre-existing materials, templates, methodologies, and tools. Clients grant us a limited license to use their brand assets solely to deliver the services.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation does not apply to information that is publicly available, already known, or required to be disclosed by law.
7. Limitation of Liability
Pulse Social's liability is limited to the amount paid for the services in the month giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages. We do not guarantee specific business results such as revenue, leads, or rankings, as these depend on factors outside our control.
8. Termination
Either party may terminate the service agreement in accordance with the termination provisions set out in the specific agreement. Upon termination, any outstanding fees for work completed through the termination date remain due.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Any disputes will be resolved in the courts located in Toronto, Ontario.
10. Changes to These Terms
We may revise these Terms of Service from time to time. The updated version will be posted on this page with a revised "last updated" date. Continued use of the website or services after changes constitutes acceptance of the revised terms.
